G.) b2bYellowpages.com is not owned, operated, or affiliated with any United States or International local, regional, provincial, or state Yellow Pages company, telephone directory, or phone book publisher. It obtains its large online phone directory information from third-party content providers. In the event that an inaccuracy arises, b2bYellowpages.com, if notified, will try to assist but cannot guarantee that such inaccuracies can or will be corrected. Please use the "Contact B2B Yellow Pages" feedback link conveniently located throughout our website in order to notify us of any inaccuracies or errors.

H.) In consideration of your use of the Service, you represent that you are of legal age to access such areas, results, and links and that you are not a person barred from receiving services under the laws of the United States or other applicable jurisdictions.

MEMBERSHIP TYPES, FEES, AND BENEFITS

A.) b2bYellowpages.com offers Members different memberships and services, namely, Premium Membership and Listed Membership. Memberships are obtained by agreeing to the terms of our Subscriber Agreement, which is available on our website.

B.) A Listed Member is a limited service that allows a business owner or authorized website administrator to claim their listing as it appears on b2bYellowpages.com. Listed Members are not required to pay a fee. It is only available if the business has a viable website that meets our approval criteria. The business owner or website administrator can modify and verify the information including the phone, address, website URL listing, category and business description. Listed membership does not offer any other information about the Member. It does not offer any of the advertising, promotional features, or programs associated with a Premium Membership.

C.) Premium Membership is a fee-based service that allows you to apply for and purchase expedited consideration of your website for possible inclusion in b2bYellowpages.com's directory of websites. Inclusion in the Directory is at b2bYellowpages.com's sole discretion and not guaranteed, and it shall at all times remain subject to the terms and conditions of these Terms.

D). Premium Membership allows for listings in our Directory to receive priority listing. Priority listing means the result will be posted before other memberships or editor selections but may be preceded by sponsored advertisers. Premium Members will also receive priority listing in matching web search, local search, and other b2bYellowpage sections. There is no guarantee that one Premium Member will go before another Premium Member. This order is determined by our technology.

E.) Premium Membership allows the Member to submit up to 20 keywords for each listing. The keywords are utilized by our technology in order to match user queries and serve optimum results to viewers. There are no additional fees associated with keywords, such as pay-per-click fees, but any keywords submitted are subject to editor approval and must be specific to the products and services offered by the Member website. They cannot be general in nature.

F.) There is a limit of only one Membership per website.

USER CONTENT AND USER CONDUCT

The Site enables individuals (“Consumers”) to submit reviews for businesses who are listed on our Site (“Consumer Content”). As a Consumer, when you submit your review, you will be required to provide us with your email address and location. We use your email address to send you a confirmation link, and once you click the confirmation link, we receive your authorization to publish your review on the Site. We have the right to use your location data only to display it with your name or username and your review. Please note that we will never publish your email address on the Site, and your personal data will only be used in accordance with our Privacy Policy.

In addition to the Consumer Content, the Site may also contains ratings and reviews for our members from third-party review websites (hereinafter referred to as “Third-Party Content”). All Consumer Content and Third-Party Content available on the Site is hereinafter collectively referred to as “User Content.” We do not claim ownership of any User Content on the Site, but as a Consumer, by posting your review on the Site, you acknowledge that your review/User Content will be non-confidential and visible to all members and other web users who access the Site.

We do not screen or monitor any User Content, and therefore we are unable to warrant or guarantee the authenticity, legality, or quality of such User Content. By using the Service provided by b2bYellowpages.com, you acknowledge that your reliance upon any User Content is entirely at your own risk, and you shall be solely responsible and liable for any damage or loss you suffer as a result of your reliance upon such User Content. B2bYellowpages.com does not endorse, sponsor or recommend any User Content. You hereby release b2bYellowpages.com from any liability arising from or associated with your use of any User Content made available through the Site.

Ratings and reviews are designed to help Consumers and our Site visitors make informed decisions when searching for businesses; therefore, it is imperative that as a Consumer, you provide an honest rating and review of your personal experience. Any actions to fraudulently boost a member’s ratings or defame a member by leaving fraudulent or inaccurate reviews may result in a civil action against you. By submitting your review on the Site, you represent and warrant that you have all the rights, licenses, consents, and authority required to submit your User Content on the Site, and you authorize b2bYellowpages.com to use your User Content in accordance with these Terms. You further represent and warrant that your User Content does not infringe or violate any copyright, intellectual property, proprietary, privacy, or publicity rights of another person or any applicable laws or regulations. If your User Content is found to be false, defamatory, violating any third-party’s copyright, intellectual property rights, proprietary rights, moral rights, publicity rights, or privacy rights, you will be solely liable as the author of such User Content for any costs or damages that arise from such a claim.

By submitting your review through the Site, you grant b2bYellowpages.com an irrevocable, worldwide, perpetual, non-exclusive, royalty-free, transferable, and fully sub-licensable right to modify, adapt, copy, store, host, translate, distribute, publish, create derivative works from and publicly display your User Content in any media for the purpose of delivering, improving and marketing our Services. In addition to the aforementioned, by submitting your User Content, you also grant all Site users (Members, Consumers, and Site visitors) an irrevocable, non-exclusive right to access your User Content when using the Services. You hereby irrevocably waive against b2bYellowpages.com and our users any claims of moral rights relating to your User Content. You also waive any claims to present or future compensation arising from the b2bYellowpages.com’s use of your User Content in any form and media.

Posting Guidelines: Before posting any reviews on the Site, it is your sole responsibility to ensure that your User Content:

● Does not violate any applicable laws, including but not limited to copyright or publicity rights of others;
● Is not false, inaccurate, misleading, fraudulent, libelous, defamatory, obscene, sexually explicit, or contain any material, that we may in our sole discretion deem inappropriate;
● Does not advocate, endorse, condone or promote racism, bigotry, hatred, or physical harm of any kind against any individual or group of individuals;
● Is not demeaning to a group whether based on race, disability, age, sexual orientation, or gender identity;
● Does not contain any information that you do not wish to make publicly available;
● Does not breach any provisions of these Terms;
● Is not part of a paid promotion by a member or another entity;
● Does not disclose or share any personal information of another person or violate the privacy rights of another;
● Is based on your personal experience of the member’s business and not hearsay.

Prohibited Activities: It is your sole responsibility to ensure that your User Content does not post, submit or perform any of the following prohibited activities:

● The offering of any rewards including but not limited to any discounts, promotional codes, gifts, or other similar items in exchange for positive reviews for your listing on the Site or incentivizing a Consumer to remove a negative review from the Site;
● The submitting of reviews for your own business listing on the Site to boost your reputation;
● The submitting of any reviews for your competitor’s business listing on the Site;
● The use of any third-party service to leave positive reviews for your business listing on the Site;

We strive to maintain the credibility of the reviews on the Site. As a member, you understand that your membership type (Listed Membership or Premium Membership) does not impact your ratings and reviews on the Site. For the avoidance of any doubt, you do not receive any additional rights to modify, hide or promote specific reviews on the Site as a result of your Premium Membership. Premium Membership, however, does allow the member to respond to a review that will be posted on the webpage that shows your membership listing.

USER CONTENT DISCLAIMER

You understand and accept that all User Content available on the Site is the sole responsibility of the individual from whom such User Content originated, and b2bYellowpages.com disclaims all liability for any errors or omissions in any User Content.

All reviews on the Site are the personal opinion of the person from whom such User Content originated and not the opinion of b2bYellowpages.com.

b2bYellowpages.com will not assume any responsibility or liability for the content of any review available on the Site, and under no circumstances will b2bYellowpages.com be held responsible for any loss or damage incurred by any member or a third party as a result of any negative rating or review made available through the Site. Unless expressly specified otherwise, b2bYellowpages.com does not pre-screen, modify, refuse, or filter any ratings and reviews. b2bYellowpages.com may modify or remove any rating and review from the Site under the following circumstances:

● A review contains spelling errors;
● A review contains language that is deemed obscene, discriminatory, or otherwise inappropriate;
● A review violates any applicable laws or these Terms;
● If we receive instructions by court order to remove a review; and
● Where we deem a review to be spam.

If you believe your User Content has been wrongly removed from the Site or wish to request the removal of your User Content, please contact us through the feedback form on our website, and we will process your request in accordance with our Privacy Policy.

E-MAIL NOTIFICATIONS

b2bYellowpages.com does not sell or offer any Member e-mail addresses obtained during the membership registration process to any third party. b2bYellowpages.com, however, may send you a rare notification of new features, services, opportunities, offers, or updates as they apply to the b2bYellowpages.com website.

PRIVACY

In addition to this Terms of Use Agreement, b2bYellowpages.com maintains a Privacy Policy that is posted separately and apart from these Terms. Our current Privacy Policy practices are accessible through the "Privacy Policy" link located near the bottom of most pages on any b2bYellowpages.com, Inc website.

As a result of the World Wide Web continually evolving with new technologies, security features, and technologies, the Privacy Policy will change from time to time. b2bYellowpages.com reserves the right to change the Privacy Policy at any time. INDEMNITY

You agree to indemnify, defend and hold harmless b2bYellowpages.com, and its parents, subsidiaries, affiliates, officers, directors, shareholders, employees, and agents for all losses and costs related to any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of or listing in the Directory or Services, the acceptance or rejection of your suggested site, any alleged violation of these Terms, the Subscriber Agreement or the materials it incorporates by reference or any alleged violation of any rights of others. b2bYellowpages.com reserves the right, at its own expense, to assume the sole and exclusive defense and control of any matter subject to indemnification by you, which shall not excuse your indemnity obligations.

ENTIRE AGREEMENT

b2bYellowpages.com reserves the right to amend these Terms at any time by posting the revised terms on our website. You agree to review the current version of these Terms each time you use the Site. The revised Terms shall automatically be effective immediately after they have been posted on our website. By continuing to use the Site, you agree to the revised terms. Other than by posting of such revised terms on the Site, these Terms may not be amended or modified except in a written document signed by both parties.

You agree that these Terms, any rules and policies published by b2bYellowpages.com, and the Subscriber Agreement (if applicable to you) are the complete and exclusive agreement between the User and b2bYellowpages.com. These Terms govern your use of the Site, superseding any prior agreements between you and b2bYellowpages.com, whether established by custom, practice, policy, or precedent, except for the Subscriber Agreement (if applicable), which, in the event of any conflict with these Terms, shall control.
